Job Description
- Provide legal advice on corporate law, review and draft board and shareholder resolutions, powers of attorney, invitations for general meetings and any other documents for compliance with the companies’ articles of association and shareholders’ agreements.
- Manage BRF’s relationship with its external shareholders, namely HPDC/PIF and Addoha, ensuring that BRF’s rights and obligations under the documents governing those partnerships are observed.
- Provide legal advice and draft, and negotiate agreements with customers and draft, and negotiate agreements with suppliers and service providers in order to ensure that contracts for services provided or received include adequate legal protection for the Company.
- Provide legal counsel, review legal aspects of, and review and prepare and negotiate documents in connection with, corporate acquisitions and divestitures, mergers and business affiliations, purchases or sales of securities and other assets of corporations and the contents of purchase or sale contracts, merger agreements, or other business arrangements.
- Performs anything required by the Legal Executive Manager that is in line with the main duties.
- Comply with BRF Sustainability Policy guidelines, ensure adherence to BRF Sustainability Plan through activities in its routines that promotes compliance with the indicators and global ESG (Environmental, Social and Governance) commitments of the Company, ensuring the connection between its actions and sustainable development in the BRF chain.
Academic Background
- Bachelors’ Degree in Law (Masters in Law is preferable).
Experience
- Has to be a certified lawyer in Saudi Arabia (must be Saudi National too).
- 6+ years of post-qualification experience of which part of it is preferred to be in international business enterprise handling international legal matters such as:
- Managing corporate law-related activities.
- Corporate governance and support to shareholders, board of directors and C-suite.
- Contract negotiation and drafting.
- Providing accurate and effective legal counsel.
- Track record in M&A work.
